This document is a public offer of ABBA GLOBAL Limited Liability Company (hereinafter - the “Administration”) to conclude a contract for the purchase of paid Materials, the Subscription, and electronic and printed issues of HILL Magazine on the conditions set out below (hereinafter - the “Offer”).
The Offer forms an integral part of the HILL.uz Terms of Use published on the Site at https://hill.uz/en/terms (hereinafter - the “Terms of Use”). Terms beginning with a capital letter and not defined in this Offer have the meanings given to them in the Terms of Use.
1. Terms and definitions
1.1. “Offer” - this document in all of its provisions and annexes, setting out the conditions for purchasing paid Materials, the Subscription and Electronic and Printed issues.
1.2. “Site” - the website on the Internet located at https://hill.uz, including all of its subdomains and sections, which serves as the platform for distributing the electronic version of HILL magazine (registration number as a mass medium in the territory of the Republic of Uzbekistan - 577110), as well as the mass medium “HILL Media House” (registration number as a mass medium in the territory of the Republic of Uzbekistan - 1721112).
1.3. “Administration” - ABBA GLOBAL LLC, the owner of the Site and the founder (publisher) of the mass media outlets “HILL” and “HILL Media House”. Address: Sofdil Street, “Tashkent INDEX” shopping centre, Tashkent; TIN: 311 413 563.
1.4. “Buyer” - a User who places and/or pays for an Order. The Offer is addressed to individuals with legal capacity. To avoid any contradictions, relations with sole traders and legal entities, as well as with individuals purchasing the Administration’s products for the purpose of their further transfer to third parties or for commercial purposes, are governed by separate civil law agreements concluded with the Administration.
1.5. “Order” - a notice placed by the Buyer through the functionality of the Site regarding the purchase of a Subscription, an Electronic issue, a Printed issue, an Invitation and/or another paid Material on the conditions of the Offer.
1.6. “Subscription” - a paid service providing access to a specific set of Materials of the Site during the paid Billing period.
1.7. “HILL Event” - an event organised or held by the Administration (including an offline event), participants in which may be granted access to closed photo albums.
1.8. “Billing period” - the period indicated in the Subscription menu for which the Subscription is provided, selected by the Buyer when placing the Order.
1.9. “Automatic renewal” - the automatic renewal of the Subscription for a new Billing period with the automatic charging of the Price in accordance with section 6 of the Offer.
1.10. “Electronic issue” - the electronic version of an individual issue of HILL Magazine, provided to the Buyer for viewing and/or downloading.
1.11. “Printed issue” - a physical copy of an individual issue of HILL Magazine, purchased by the Buyer through the Site with subsequent delivery.
1.12. “One-off Material” - an individual paid Material (including an individual Electronic issue, Printed issue, article or special project) purchased outside the Subscription for a separate fee.
1.13. “Price (Tariff)” - the price of the Subscription, of an Electronic or Printed issue or of another paid Material, indicated in the relevant section of the Site at the time the Order is placed.
1.14. “Payment system” - a third-party service that receives and processes the Buyer’s payments.
1.15. “Invitation” - a document (in electronic form) purchased through the Site that certifies the right of its holder (participant) to attend the relevant HILL Event.
1.16. “Delivery service” - a third party engaged by the Administration that delivers Printed issues.
1.17. “Personal Account” - the Buyer’s personal section on the Site, available after registration and sign-in.
2. General provisions. Subject matter of the Offer
2.1. The Offer sets out the conditions and the procedure for purchasing, paying for, providing and returning paid Materials, the Subscription, and Electronic and Printed issues through the Site, and Invitations to take part in a HILL Event.
2.2. The Offer constitutes a public offer in accordance with articles 367 and 369 of the Civil Code of the Republic of Uzbekistan and an adhesion contract in accordance with article 360 of the Civil Code of the Republic of Uzbekistan. The requirements for an offer in electronic commerce established by article 16 of the Law of the Republic of Uzbekistan “On Electronic Commerce” (No. ZRU-792 of 29 September 2022) are deemed to be met.
2.3. Paid Materials, the Subscription, and Electronic and Printed issues may be purchased after the Buyer has registered and signed in in the manner provided for by section 3 of the Terms of Use.
2.4. As regards the purchase, payment for and return of paid Materials and services, the Offer prevails over the Terms of Use. In all other respects, the Terms of Use and their other integral parts (the Privacy Policy, the Consent to the Processing of Personal Data, the Content License) apply to the relations of the Parties. In respect of individual types of services provided under clause 2.1 of this Offer, separate addenda to this Offer may be adopted, forming an integral part of it.
2.5. The current version of the Offer is published on the Site. The Administration may amend the Offer in the manner provided for by section 12 of the Offer.
3. Acceptance of the Offer. Conclusion of the contract
3.1. Acceptance of the Offer (full and unconditional acceptance of its conditions in accordance with article 370 of the Civil Code of the Republic of Uzbekistan) consists of the following combination of actions by the Buyer: placing an Order through the functionality of the Site and paying for it.
3.2. From the moment of acceptance, the contract between the Administration and the Buyer for the relevant Order is deemed concluded on the conditions of the Offer in force at the time the Order was placed.
3.3. Before placing and paying for an Order, the Buyer must read the conditions of the Offer, the Price, the composition and the access period for the Materials being purchased, and - in respect of Printed issues - the delivery conditions and time frames. Placing and paying for an Order means that the Buyer has read the said conditions and agrees to them.
3.4. By placing an Order, the Buyer confirms that the data they have provided (including contact details and the delivery address) is accurate, complete and up to date.
3.5. An Order may be cancelled solely by sending a written request to the Administration’s email address indicating the reasons for the cancellation and exactly what is to be refunded. The refund conditions for individual types of purchased products or services of the Administration are set out in this Offer.
3.6. Information about Orders placed, Materials and Electronic issues purchased, the status of the Subscription and orders for Printed issues is shown in the Buyer’s Personal Account.
4. Types of paid Materials and services
4.1. The following may be purchased through the Site:
4.1.1. Subscription - access to a specific set of Materials during the paid Billing period (section 6 of the Offer);
4.1.2. Electronic issue - as part of the Subscription or as a One-off Material (section 7 of the Offer);
4.1.3. Printed issue - as part of the Subscription or as a One-off Material, with subsequent delivery to the User at the address indicated by them when placing the Order (section 8);
4.1.4. Invitations - providing access to a specific HILL Event in accordance with the conditions (section 9);
4.1.5. other One-off Materials - individual articles, special projects, etc., where their purchase is provided for by the functionality of the Site.
4.2. The composition, Price, Billing period and access period for each type of paid Materials and services are indicated in the relevant sections of the Site at the time the Order is placed.
4.3. The Subscription provides access to a specific set of Materials during the paid Billing period and does not constitute the acquisition of a specific list of Materials for permanent use. The composition of the Materials available under the Subscription may change (Materials may be added, updated, archived, deleted or become unavailable) at the discretion of the Administration or at the request of rightsholders. Such changes do not constitute improper provision of the service and are not grounds for a refund.
4.4. The Administration may at any time change the list, Price and design of paid Materials and services. The changes do not apply to Orders already paid for: the conditions of a paid Order are determined by the version of the Offer and the Tariff in force at the time the Order was placed, except for the conditions of Automatic renewal (clause 6.5 of the Offer).
5. Price and payment procedure
5.1. The Price is indicated on the Site in Uzbek soum and includes taxes, unless otherwise expressly indicated on the Site.
5.2. An Order is paid for by non-cash means through the Payment system using the methods available on the Site. Payment for any of the Administration’s services listed on the Site is made in the form of prepayment.
5.3. Payments are processed by the Payment system. The Administration does not receive and does not store the full details of the Buyer’s payment instruments. Relations connected with making a payment are governed, among other things, by the rules of the relevant Payment system.
5.4. The Buyer’s payment obligation is deemed performed from the moment the funds are credited to the Administration’s account (or from the moment the payment is confirmed by the Payment system, where applicable).
5.5. Where a payment is insufficient, incorrect or unconfirmed, the Order is deemed not to have been placed, access to the Materials is not granted and the Printed issue is not passed for production/delivery.
5.6. The Administration may run promotions and grant discounts that temporarily change the Price and the conditions for providing services. The conditions of promotions are determined by the Administration and are valid for the period indicated by it.
5.7. For payments made, the Buyer is provided with an electronic document (receipt) in the manner provided for by the legislation of the Republic of Uzbekistan.
6. Subscription. Automatic renewal
6.1. The Subscription is taken out for the term of the Billing period of the Subscription selected by the Buyer when placing the Order. Access to the Materials under the Subscription is granted from the moment payment is confirmed and is valid until the end of the paid Billing period.
6.2. The Subscription and Automatic renewal are managed by the Buyer through the Personal Account.
6.3. If the Buyer has not disabled the Automatic renewal mode themselves when taking out the Subscription, at the end of the current Billing period the Subscription is automatically renewed for the next equivalent Billing period, and the relevant Price is automatically charged to the Buyer’s linked payment instrument. By taking out a Subscription with Automatic renewal, the Buyer consents to such periodic charges.
6.4. The Buyer may disable Automatic renewal at any time through the Personal Account. Disabling Automatic renewal before the date of the next charge stops further automatic renewals and charges; the Subscription already paid for remains valid until the end of the paid Billing period.
6.5. The Price of each renewal is determined by the Tariff in force on the date of the relevant renewal. The Administration notifies the Buyer in advance of any change to the Price applied on Automatic renewal in the manner set out in section 8 of the Terms of Use. If the Buyer does not agree with the new Price, they may disable Automatic renewal before the date of the next charge.
6.6. Where a charge cannot be made (insufficient funds, expiry of the card, etc.), Automatic renewal does not take place and access under the Subscription ends at the end of the paid Billing period. The Administration may make repeated attempts to charge and/or notify the Buyer.
6.7. Changes to the composition of the Materials available under the Subscription are made in accordance with clause 4.3 of the Offer.
7. Electronic issues and other One-off Materials
7.1. Access to a paid-for Electronic issue and other One-off Materials is granted through the Personal Account from the moment payment is confirmed.
7.2. An Electronic issue purchased on a one-off basis is provided to the Buyer indefinitely; the possibility of and the procedure for downloading the Electronic issue are determined by the functionality of the Site. The Buyer must download the Electronic issue from the Site themselves after purchasing it. The Administration is not liable for the Buyer’s loss of access to a purchased Electronic issue if they did not download it before losing access to the Personal Account.
7.3. Access to One-off Materials granted through the Personal Account terminates when the account is deleted in the manner provided for by section 3 of the Terms of Use. The Buyer is advised to save (download) such Materials in advance, where the functionality of the Site provides for the possibility of downloading them.
7.4. An Electronic issue and other One-off Materials are digital products (results of intellectual activity). Granting access to them does not constitute a transfer of exclusive rights; the Buyer obtains the right to use the Materials within the limits established by the Terms of Use and the Content License.
8. Printed issues. Delivery
8.1. A Printed issue is purchased through the Site with subsequent delivery to the address indicated by the Buyer.
8.2. The delivery price, the available delivery methods and territory, and the estimated delivery times are indicated on the Site when the Order is placed. The delivery price is not included in the price of the Printed issue and is calculated and paid separately. Delivery is carried out solely within the territory of the Republic of Uzbekistan.
8.3. The Buyer must provide a complete and accurate delivery address and contact details. The Administration is not liable for the non-performance or delay of delivery caused by the Buyer providing inaccurate or incomplete data or by the absence of the Buyer (recipient) at the agreed place of delivery.
8.4. Delivery is carried out by the Delivery service. Delivery times are estimates and may change for reasons attributable to the Delivery service and other third parties.
8.5. Title to a Printed issue and the risk of its accidental loss or damage pass to the Buyer from the moment the Printed issue is handed over to the Buyer (recipient).
8.6. On receiving a Printed issue, the Buyer is advised to check that it is complete, intact and free from visible damage.
9. Invitations to HILL Events
9.1. An Invitation evidences the Buyer’s right to attend an Event. Additional services that may be connected with attending an Event (partner gifts, included catering, alcoholic drinks, etc.) may be included in the Price of the Invitation; in that case, information about this is necessarily included in the comments to the Invitation at the time of purchase. The absence of any indication of an additional service and of the inclusion of its price in the Price of the Invitation means that this service will be provided to Buyers at the Event for an additional fee.
9.2. The date, place and programme of an Event, the category and Price of an Invitation (where categories exist), and other conditions of participation are indicated on the Site and/or in a separate document on the Event adopted and published by the Administration (section 5 of the Terms of Use). Before placing an Order, the Buyer must read the said conditions.
9.3. An Invitation is provided to the Buyer in electronic form through the Personal Account and/or to the email address indicated by them. A printed Invitation is not provided for.
9.4. If an Invitation is personalised, the right to attend the Event belongs to the person named in it; the transfer of the Invitation to third parties is not permitted, unless the conditions of the Event provide otherwise.
9.5. Entry to an Event is granted on presentation of a valid Invitation and, at the request of the Administration, an identity document. One Invitation grants the right to a single entry for one person.
9.6. The Administration may establish conditions of participation in an Event (including age restrictions, rules of conduct and safety requirements) in a separate document on the Event. The Administration may refuse entry to, or remove from, an Event any person who breaches the said conditions; in that case, the price of the Invitation is not refunded.
9.7. The purchase of an Invitation and participation in an Event make the Buyer a participant in a HILL Event. Section 5 of the Terms of Use applies to relations connected with access to the closed photo albums of the Event and with the use of the Buyer’s likeness (image).
9.8. Cancellation and postponement of an Event, and refunds.
9.8.1. Where an Event is cancelled at the initiative of the Administration, the Buyer may, at their choice, receive a refund of the full price of the Invitation or, where offered by the Administration, exchange the Invitation for participation in the postponed or another Event.
9.8.2. Where an Event is postponed (the date and/or place is changed), the Buyer may keep the Invitation, which remains valid for the Event on the new conditions, or decline to participate and receive a refund of the price of the Invitation.
9.8.3. Where the Buyer declines to participate on their own initiative (in the absence of a cancellation or postponement of the Event), a full refund is made if the request is received no later than 15 (fifteen) calendar days before the date of the Event. Where a refund request is made later than that, the price of the Invitation is non-refundable.
9.8.4. If the Buyer (participant) fails to attend the Event, the price of the Invitation is non-refundable, and the Invitation is neither reinstated nor refunded, regardless of the reasons for the non-attendance.
9.8.5. Refunds under this section are made in the manner provided for by clause 10.3 of the Offer. This section does not limit the rights of a Buyer who is a consumer established by the legislation of the Republic of Uzbekistan.
10. Moment of performance of obligations. Refunds
10.1. Electronic issues, One-off Materials and access under the Subscription (digital products and services).
10.1.1. The Administration’s obligation to grant access to an Electronic issue, a One-off Material or the Subscription is deemed duly performed from the moment the relevant access is granted to the Buyer through the Personal Account.
10.1.2. Owing to the nature of digital products and services, no refund is made for an Electronic issue, a One-off Material or a Subscription of proper quality to which access has already been granted, except in the cases expressly provided for by the legislation of the Republic of Uzbekistan.
10.1.3. Where the Buyer terminates a Subscription of proper quality early (including where the account is deleted at the Buyer’s initiative), the funds paid are recalculated on the basis of the number of days in the Billing period during which the service was actually provided to the Buyer.
10.1.4. If access to a paid-for digital product or service was not granted through the fault of the Administration, or was granted at an improper quality and the defect was not remedied within a reasonable time, the Buyer may, at their choice, demand that access be granted again/the defect be remedied, or demand a refund of the amount paid for the relevant Material or for the unused part of the Subscription.
10.2. Printed issues (goods).
10.2.1. Until a Printed issue is handed over for delivery, the Buyer may cancel the Order for the Printed issue; the amount paid is refundable less the costs actually incurred by the Administration (if any).
10.2.2. Where a Printed issue of improper quality is handed over (defective, damaged, incomplete), the Buyer may exercise the rights provided for by the Law of the Republic of Uzbekistan “On the Protection of Consumer Rights”, including the right to demand replacement or a refund of the amount paid. The costs connected with returning goods of improper quality are borne by the Administration in the cases provided for by law.
10.2.3. The return or exchange of a Printed issue of proper quality is carried out in the manner and within the time frames provided for by article 18 of the Law of the Republic of Uzbekistan “On the Protection of Consumer Rights” (provided that the goods retain their merchantable appearance and consumer properties and that a document confirming the purchase is available), taking into account the List of goods of proper quality that are not subject to return or exchange (Resolution of the Cabinet of Ministers of the Republic of Uzbekistan No. 75 of 13 February 2003). The Buyer delivers the Printed issue to the location of the Administration by their own means and at their own expense.
10.3. Refund procedure.
10.3.1. To obtain a refund, the Buyer sends a request to info@hillmagazine.ru indicating information about the Order (date, composition, and the payment details required to identify the transaction).
10.3.2. Refunds are made using the same method by which payment was made, unless otherwise agreed by the Parties and provided this does not conflict with the law, within no more than 1 month from the moment the claim is recognised as justified. The actual crediting time depends on the Payment system and the Buyer’s bank.
10.3.3. This section does not limit the rights of a Buyer who is a consumer established by the legislation of the Republic of Uzbekistan.
11. Liability of the Parties
11.1. For the non-performance or improper performance of obligations under the Offer, the Parties are liable in accordance with the legislation of the Republic of Uzbekistan, taking into account the limitations established by the Terms of Use.
11.2. The Administration is not liable for the impossibility of providing services or delivery caused by the Buyer providing inaccurate data, by the actions of the Payment system, the Delivery service or other third parties, or by force majeure circumstances.
11.3. Where the Buyer breaches the conditions of the Offer or of the Terms of Use and their Personal Account is blocked/deleted, the price of the services they have purchased is non-refundable.
12. Term and amendment of the Offer
12.1. The Offer takes effect from the moment it is published on the Site and remains in force until it is withdrawn or replaced by a new version.
12.2. The Administration may amend the Offer unilaterally at any time. The new version takes effect from the moment it is published on the Site, unless the Offer itself indicates otherwise.
12.3. The version of the Offer in force at the time Orders were placed applies to Orders already paid for, except for the conditions of Automatic renewal (clause 6.5 of the Offer).
13. Final provisions
13.1. The Offer is governed by and construed in accordance with the legislation of the Republic of Uzbekistan. Matters not governed by the Offer are resolved in accordance with the Terms of Use and the legislation of the Republic of Uzbekistan.
13.2. The complaint (pre-trial) procedure for settling disputes is mandatory. The period for responding to a complaint is 15 (fifteen) business days. If a dispute cannot be settled through negotiations, it is subject to consideration in the manner established by the legislation of the Republic of Uzbekistan.
13.3. If an individual provision of the Offer is held invalid, this does not render the remaining provisions invalid.
13.4. The Offer is drawn up in the Uzbek, Russian and English languages. In the event of discrepancies between the versions, the Russian version prevails, unless otherwise required by the mandatory requirements of the legislation of the Republic of Uzbekistan.
